Multiple new H1B petitions with different employers

I am working with Company 'A' on L1B. Company 'B' decided to file my H1B visa this year and the paper work is in process. All of a sudden my current employer 'A' also decided to file my H1B this year. Can I apply H1B with two different employers at same time?

If both of them apply H1B with COS (Change of Status) and both of them got approved which one will be effective. The one which approved last or both of them will be valid and I can work with any one of the employer.

Both of them can file. If both get approved with change of status, you can work for any one of the employer starting from Oct 1.

Will they count it as two or one towards the 65,000 cap? Because if they count it as two, it technically is unfair to the other applicants, and due to the same reason, USCIS may not be too keen on approving two different applications from the same person.

USCIS does not care. I don't know how they count it.
