I-94 expired, but have H1 B visa stamping in Passport.

Hi.,
I had visited India in Nov '1999 and returned to US in Mar '2000 on my old company's H1 B Visa (which i have Visa stamping in passport) and expired in Nov 2000. I also have my new company H1 B Visa (which will expire in Mar' 2002) when i visited India. At the port of entry, i have shown old company's H1 B visa papers and got I-94 stamped until Nov'2000 (old company's visa expired on Nov'2000), and i have sent my new H1 B visa for revalidation to St.Louis and got Visa stamped in passport until Mar '2002. Now my company is applying for an extension of H1 B Visa.
1). Will there be any problem in getting extension? B'cos my I-94 expired on Nov '2000 and visa stamping in passport have validity until Mar 2002?
2). Is my status illegal since Nov'2000?

I have the payslips for all these years.

Please advice me on this.

I had similar situation. But I got new I-797 approved with new company. It should not be a problem.
