I-20 to H1b

Hello

My F1 visa expired on June 2009, and I am currently on my I-20.
My I-20 is valid till 2013.

I got a job offer and they want to sponsor me H1b, I am doing my 2nd MS and dont have option for OPT.

Can I go directly from F1 to H1B ? (since currently I am on I-20 and dont have any valid re-entry visa, but is having I-20 same as having F1 visa ?)

I-20 is the one which decides your legal stay in US. Visa is justa permission to enter. If you havea valid I-20, the you can have your COS done from F-1 to h1B.
