H1b validity

I am currently based in India and want to come back to USA. I have Company A's visa stamped which is valid until August 2011. Before moving back to India, I joined Company B which is now acquired by Company C. Company B has canceled my H1b petition which was valid till August 2012.Company C is willing to sponsor my H1b now. I dont have Company B visa in my passport.

What are my options to enter USA considering the above ?
Am I cap exempted ?

Once company C processes the H1b and gets the I797 for you, you can just enter with A's visa and C's I797 and begin working for C.

No new visa is needed.
