H1B Transfer and H1 extension with new company

I am currently on H1b which is approved till Sep 30 2012 and I94 is also sep 30 2012 with company X. Please see my questions below.

1. Can I apply a H1 transfer to new Company Y on august 1 2012.
2. Does the transfer need to be approved with company Y before I can apply for an H1 extension with new company Y on Sep 1 2012

Please reply to the questions I appreciate your help.
