i got two B1 rejections. First in 2010 and second in 2011.

now my company wants me to apply for L1 directly.

What are the chances?

Its not a strightforward 10% or 30%, or 80% chances answer to this question.Based on the limited information you have provided its virtually impossible to say much. As for chances its not a probability formula.
There are various inputs that go into this. Ones Education, experience, domain, products developed/worked on , processes knowledge, experience with current company, salary levels, strength of documentation all play vital role. And above all how one is able to convince the officer in those Minute-20 Minute interviews at the consulate.
