L1 Visa Change in Employer

Hi all
I looked in almost all thread and did not find an answer
My situation is like this

I am located in US on an L1 extension till march 2015. I was working under business unit of a parent company and has a petition approved with the parent company.The division in which I was working now become the wholly owned subsidiary of my parent company. now my company wants me to reapply for new L1 visa for the new subsidiary.
My question are:

Is there a chance of rejection as i already have an approved 1-94 till March 2015
if rejected do I need to leave US immediately

It would depend upon the nature of takeover/merger etc. Your immigration team would be the best bet to comment on this.
